Independent Contractor Agreement

This Independent Contractor Agreement (“Agreement”) is entered into between ChemCab LLC (“ChemCab,” “Company,” “we,” or “our”) and the undersigned independent contractor (“Contractor,” “you”).

By onboarding with ChemCab, accessing the Driver Portal, or completing deliveries, you agree to the following:

1. Independent Contractor Status

Contractor is an independent contractor, not an employee, agent, or representative of ChemCab. Nothing in this Agreement creates:

  • An employment relationship

  • A partnership

  • A joint venture

  • Eligibility for ChemCab employee benefits

Contractor has full control over how work is performed, subject only to DOT, OSHA, safety, and chain-of-custody requirements.

2. Driver Requirements

Contractor represents and warrants that they:

  • Maintain a valid driver’s license

  • Hold required TWIC or plant-access credentials (as applicable)

  • Maintain an insured, registered, and reliable vehicle

  • Have a clean driving record

  • Are legally authorized to work as an independent contractor

  • Have a smartphone capable of GPS tracking and Tookan app use

  • Will follow all ChemCab safety, PPE, handling, and hazmat rules

3. Contractor Responsibilities

Contractor agrees to:

  • Pick up and deliver samples promptly and safely

  • Follow all instructions for hazardous or sensitive materials

  • Maintain chain-of-custody integrity at all times

  • Use the ChemCab Tookan app accurately and honestly

  • Upload required photos, signatures, and proof of delivery

  • Maintain the vehicle in a clean, professional condition

  • Communicate respectfully with clients and ChemCab staff

  • Immediately report spills, accidents, exposure, or site issues

  • Maintain confidentiality of all client materials and information

4. Payment & Mileage Compensation

Contractor will be paid per mile, based on:

  • Tookan-confirmed route distance

  • ChemCab’s active mileage rates

  • Any approved surcharges, return-trip adjustments, or bonuses

Contractor understands:

  • ChemCab does not reimburse fuel

  • Contractor is responsible for taxes and self-employment filings

  • No minimum number of jobs is guaranteed

  • Payments are processed according to ChemCab pay schedule

5. Insurance Requirements

Contractor must maintain:

  • Personal auto liability insurance (minimum state limits)

  • Valid registration for the vehicle used for deliveries

  • Personal health insurance (recommended)

ChemCab may request or verify proof at any time.

6. Confidentiality & Data Protection

Contractor agrees to keep confidential all:

  • Client lists

  • Pickup/drop-off locations

  • Sample details

  • Chain-of-custody documentation

  • Communications, photos, and route information

Contractor may not photograph, share, or disclose ChemCab jobs publicly or privately.

7. Hazardous Materials Handling

Contractor acknowledges:

  • Some samples may be hazardous

  • DOT 49 CFR regulations apply

  • OSHA exposure and transport rules apply

  • PPE must be worn when required

  • ChemCab’s Safety & Compliance Policy must be followed at all times

Failure to follow safety protocol is grounds for immediate termination.

8. Equipment & Materials

Contractor is responsible for:

  • Vehicle costs (fuel, insurance, maintenance)

  • Mobile phone and data usage

  • Required PPE (ChemCab may provide some items)

  • Tote bags, spill kits, and storage containers (if applicable)

9. Termination

ChemCab may terminate this Agreement:

  • At any time

  • For any reason

  • With or without notice

Grounds for immediate removal include:

  • Misconduct

  • Unsafe driving

  • Drug/alcohol impairment

  • Theft

  • Breach of confidentiality

  • Mishandling of samples

  • Failure to follow chain-of-custody instructions

Contractor may also terminate this Agreement at any time.

10. Limitation of Liability

Contractor agrees ChemCab is not liable for:

  • Injuries, accidents, or damage to Contractor’s vehicle

  • Loss of income

  • Work availability

  • Personal or property losses

  • Unintentional exposure to hazardous materials

Contractor assumes all risks associated with performing delivery services.

11. Governing Law

This Agreement is governed by the laws of the State of Texas and State of Louisiana, depending on the jurisdiction of work performed.

12. Entire Agreement

This Agreement constitutes the full understanding between ChemCab and Contractor and supersedes all prior discussions.

13. Acceptance

By onboarding, activating an account, or completing deliveries, Contractor agrees to all terms in this Agreement.
